General terms and conditions of sale and use of the Health Care Platform (Saas)
Introduction
The Biologbook Healthcare platform (hereinafter the "Platform") is published by BIO LOGBOOK (hereinafter the "Company"), registered with the Strasbourg Trade and Companies Registry under number 808 665 483, with share capital of €35,291.90, represented by Yann Klis and headquartered at 1 Rue Julien Videment 44200 NANTES.

The Platform is hosted by SCALINGO SAS, registered with the Lille Métropole Trade and Companies Register, with capital of €10,174,560, headquartered at 13 rue Jacques Peirotes - 67000 Strasbourg - France.
Contractual documents
The relationship between the Company and the Customer, a user of the Platform (hereinafter the "Customer"), is governed by the following contractual documents, presented in descending order of legal value:
? the quotation(s);
? the General Terms and Conditions of Sale and Use (hereinafter the "GTCSU").
In the event of contradiction between one or more provisions appearing in any of the above documents, the provisions contained in the document of higher hierarchical rank shall prevail.
Object
The purpose of the General Terms and Conditions of Sale and Use (hereinafter the "CGUV") is to set out the rules that Customers must observe when using its functionalities. Any use of the Platform and its functionalities implies unreserved acceptance of these CGUV.
Customers certify that they have read the CGUV prior to any use of the Platform, and that they have all the information and skills required to ensure that the Platform meets their needs.
Effective date and duration
The CGUV come into force on acceptance of the quotation by the Customer for a monthly or annual period and are tacitly renewed on the anniversary date of acceptance.
Creating customer accounts
To create an account on the Platform, Customers must be natural persons of legal age, with full legal capacity to enter into commitments under the GCUV.
The account is strictly personal, and Customers undertake to provide the identification data required to create the account in a personal, correct, accurate and truthful manner. Customers are also required to inform the Company of any change in the information required for normal use of the Platform.
Customers are responsible for maintaining the confidentiality of their account and password, and for restricting access to their terminal (e.g. tablet, mobile, etc.).
In the event of any doubt as to the vulnerability of their account or the confidentiality of their access, Customers must change their password and/or contact the Company's support department as soon as possible. Failing this, and to the extent permitted by applicable law, Customers are responsible for all activities carried out from their account.
The Company invites Customers to always use a complex password (consisting of numbers, upper and lower case letters and punctuation marks) to increase account access security, and to change their password regularly by accessing the account settings.
Billing and payment
Prices for the Platform are quoted in the currency of the customer's country, and include all duties and taxes borne by the customer. Use of the Platform is invoiced on a monthly or annual basis.
Unless otherwise stipulated, invoices are payable within 30 days of the invoice date by bank transfer or direct debit.
BIO LOGBOOK reserves the right to modify the price of the service at any time, on the understanding that the new price will only be applied to quotations placed from the date the new price comes into effect.
Company liability
La Société fournit une Plateforme en « l’état » qui fournit des données et statistiques dans le domaine de la santé afin d’aider les praticiens. Les données sont fournies à titre indicatif et doivent nécessairement être confrontées, interprétées et confirmées par un spécialiste dans le domaine médical. La responsabilité de la Société ne peut pas être engagée sur la base des données et statistiques fournies en cas de dommages subis sur les personnes, le Client reste seul maître des décisions relatives à la pratique médicale et de ses conséquences. La Société n’est pas non plus responsable des données utilisées et des interprétations que pourraient faire les Clients en utilisant la Plateforme et n’est pas non plus responsable d’une mauvaise utilisation de la Plateforme ou de la fourniture de données inexactes ou inadaptées à la situation.
La Société fait tout son possible pour proposer un service de qualité, accessible 24/24h, 7/7j, proposant des contenus exacts et précis, dénué de tout risque de défaillance technique.
Néanmoins, le “risque zéro” n’existant pas en matière informatique, la responsabilité de la Société ne peut pas être engagée en cas de préjudice pouvant intervenir à cause de l’utilisation de la Plateforme, la Société ne pouvant être responsable en cas d’éventuelles erreurs, d’indisponibilités, ou d’interruption pouvant intervenir sur notre Plateforme ou dans le cas où un virus serait accessible depuis notre Plateforme.
La Société n’est pas non plus responsable des délais ou de son impossibilité à respecter ses obligations en application des CGUV si le délai ou l’impossibilité résulte d’une cause en dehors de son contrôle raisonnable.
La Société n’est pas non plus responsable des piratages, erreurs ou virus qui pourraient être installés sur le terminal des Clients et qui pourraient affectés la Plateforme ou des démarches ou actions entreprises ou omises par les Clients.
De plus, l’accès à la Plateforme ou aux services peut occasionnellement être suspendu ou limité pour permettre des réparations, la maintenance, ou ajouter une nouvelle fonctionnalité ou un nouveau service.
Dans tous les cas, il est expressément convenu que la Société n’est soumise qu’à une obligation de moyens pour la fourniture de la Plateforme. Les Clients acceptent que la responsabilité de la Société ne puisse être engagée qu’en cas de faute avérée et prouvée, sachant que cette responsabilité ne saurait être applicable que pour les dommages directs et prévisibles, les préjudices indirects étant exclus, et que la Société n’est pas responsable des pertes commerciales (y compris les pertes de profit, bénéfice, contrats, économies espérées, données, clientèle ou dépenses superflues), qui n’étaient pas prévisibles quand les Clients ont commencé à utiliser la Plateforme.
Sont considérés comme des dommages indirects notamment les pertes de données, de temps, de bénéfices, de chiffre d’affaires, de marges, pertes de commandes, de clients, d’exploitation, de revenus, d’actions commerciales ou encore l’atteinte à l’image de marque, les résultats escomptés et l’action de tiers et d’une manière générale tout trouble commercial quelconque. De même est considérée comme indirecte tout action d’un tiers à son encontre.
Par ailleurs, les Clients sont informés que tout cas de force majeure suspend immédiatement et automatiquement l’exécution de la Plateforme. Si les cas de force majeure ont une durée d’existence supérieure à deux mois, la Société se réserve le droit de suspendre ou de résilier le service sans préavis ni indemnité.
Sont notamment considérés comme cas de force majeure les évènements échappant à son contrôle, qui ne pouvaient être raisonnablement prévus lors de la mise à disposition de la Plateforme et dont les effets ne peuvent être évités par des mesures appropriées, qui empêchent son utilisation.
En particulier, il s’agit de ceux habituellement retenus par la jurisprudence des cours et tribunaux français comme la guerre, l’émeute, l’incendie, les grèves internes ou externes, lock out, occupation des locaux, intempéries, tremblement de terre, inondation, dégât des eaux, restrictions légales ou gouvernementales, modifications légales ou réglementaires, accidents de toutes natures, épidémie, pandémie, maladie touchant plus de 10% du personnel de la Société dans un période de deux mois consécutifs, l’absence de fourniture d’énergie, l’arrêt partiel ou total du réseau Internet et, de manière plus générale, des réseaux de télécommunications privés ou publics, les blocage de routes et les impossibilités d’approvisionnement en fournitures et tout autre cas indépendant de la volonté de la Société empêchant l’exécution normale de notre Plateforme.
Customer liability
Customers undertake not to arrange, modify, decompile, disassemble, reverse engineer, translate, adapt, reproduce, distribute, disseminate or transfer any information, software, products or, in general, any element of the Platform. Re-posting, scrapping, or automated or high-volume use of the Platform is expressly prohibited.
Customers agree to comply at all times when using our Platform with (i) applicable national and international laws and regulations, and (ii) the GCUV.
CUSTOMERS WARRANT THAT THEY WILL NOT USE THE PLATFORM FOR ANY ILLICIT OR IMMORAL PURPOSE OR ANY PURPOSE CONTRARY TO ITS INTENDED USE AND/OR PURPOSE.
In addition, by using the Platform, Customers acknowledge that they only have the right to use it on their own behalf.
In all cases, Customers undertake not to, directly or indirectly:
? use the Platform in such a way as to infringe the intellectual and industrial property rights, privacy rights and/or image rights and/or any other rights of others.
? create, use, share and/or publish by any means any material (text, words, images, sounds, videos, etc.) or content that is, in our sole judgment, aggressive, threatening, malicious, defamatory, deceptive, pornographic, pedophilic, obscene, vulgar, racist, xenophobic, hateful, sexually explicit, violent, immoral or otherwise objectionable.
? carry out activities aimed at accessing elements or functionalities of the services whose use is made without our prior and express authorization.
? arrange, modify, translate, adapt, reproduce, index, copy and/or extract any information, software, product or any other element or part of the Platform, by any means without our prior and express authorization.
? modify, distort, block, abnormally burden, disrupt, slow down, and/or hinder the normal operation of all or part of the Platform, or their accessibility to other Customers, or the operation of partner networks, or attempt to do any of the foregoing.
? transmit or propagate any virus, Trojan horse, worm, bomb, corrupted file and/or similar destructive device or corrupted data, and/or organize, participate in or be involved in any way whatsoever in an attack against the Platform's servers and/or the servers and/or services of the Company's service providers and partners.
? use the account of another Platform Customer, impersonate another person or attribute a false capacity in dealings with any natural or legal person.
? attempt to obtain a password, account information or other private information from any other Platform Customer, and/or sell, rent, share, lend and/or in any other way transfer to any third party your account and/or the means to access it and/or in any other way make any third party benefit from their account.
? access, use, download via the Platform or otherwise reproduce or provide to any third party (whether free of charge or in return for payment) any directory of Customers on the Platform or any other information relating to Customers or the use of the Platform.
If Customers become aware of any behaviour that is malicious or contrary to the GCUV and the interests of other Customers, they must contact the Company at contact@biologbook.fr.
Suspension of customer accounts
The Company reserves the right to limit, restrict, suspend or definitively interrupt all or part of Customer accounts, at any time, without prior notice, compensation or formality, in the event of a breach of their duties and obligations under the terms of the CGUV or at the express request of an administrative or judicial authority, or in the event of a real or supposed infringement of any right whatsoever, all without this measure being considered a breach of our obligations.
Any closure of a Customer account entails the definitive deletion of the information communicated when the account was opened or updated, of all documents and other elements stored via the Platform, as well as, where applicable, of any document or content that Customers may have published, uploaded or made available on the Platform.
In the event of closure of a Customer account at the initiative of a Customer, no refund, either total or partial, of sums already paid will be made. In the event of closure of the said account at the Company's initiative for non-compliance with the present CGUV, no refund, either total or partial, of the sums already paid will be made.
It is formally forbidden to open a new account, with the same or a different e-mail address, or through an intermediary, on the Platform without the prior written authorization of the Company.
Intellectual property
The Company is the exclusive owner of all intellectual property rights to the trademarks (e.g. Biologbook Healthcare, BIO LOGBOOK, etc.), graphics or logos, or any other elements that Customers may view when using the Platform (hereinafter "Company Property").
The fact that the Company authorizes access to the Platform does not imply any agreement or license or right to use the Company's Property.
It is strictly forbidden to use the Company's Property in any way whatsoever, in whole or in part, without the Company's prior written authorization. Any unauthorized use by Customers constitutes an infringement punishable under articles L335-2 et seq. of the French Intellectual Property Code and articles L713-2 et seq. of the same code.
The Platform may also mention, for various reasons, other logos, trademarks or registered trademarks belonging to the Company or to the Company's partners (hereinafter referred to as "Third-Party Property"). Third-Party Property is also protected by intellectual property law and is subject to the same rules as Company Property.
In accordance with the provisions of Law no. 98-536 of July 1, 1998, transposing into the French Intellectual Property Code Directive 96/9 EC of March 11, 1996 on the legal protection of databases, the Company is the "producer" and owner of all or part of the databases used via the Platform. Consequently, any extraction and/or reuse of databases within the meaning of articles L342-1 and L342-2 of the French Intellectual Property Code is prohibited and constitutes an infringement.
Personal data
Use of the Platform involves the processing of personal data. For more information on this subject, Customers may consult the Company's Privacy Policy, available here.
Applicable language
The Platform is available in several languages. Nevertheless, French remains the Company's "standard" language. The French language therefore always prevails over other versions of the Platform, particularly in the event of misinterpretation, dispute or difficulty of interpretation.
Proof agreement
Communications, files, contracts, order forms and invoices are archived on a reliable and durable medium so as to constitute a faithful and durable copy. These communications, files, contracts, order forms and invoices may be produced as proof. In the absence of proof to the contrary, the recorded data constitutes proof of all exchanges between the Company and Customers.
Nullity
The nullity of one of the clauses herein does not entail the nullity of the CGUV and the other clauses will continue to produce their effects.
Waiver
The fact of temporarily or permanently not availing oneself of one or more clauses of the CGUV does not in any way imply waiver of the right to do so.
Applicable law and jurisdiction
Any dispute relating to the use of the Site is subject to French law and will be brought exclusively before the competent French courts of the Company's Court of Appeal.
Modifications
The Company reserves the right to modify the CGUV at any time and without notice.
